Introduction
These Terms govern your purchase and use of QuorumFile, a Kynth Studios product operating at quorumfile.kynth.studio. QuorumFile prepares HOTMA policy amendments and the procedural adoption record for public housing authorities.
By using the free Decision Sheet or buying an adoption pack you agree to these Terms. If you do not agree, do not use the service.
What QuorumFile sells
A one-time, flat-fee document pack. For $499 we amend one document — your Admissions and Continued Occupancy Policy or your HCV Administrative Plan. For $899 we amend both, for an agency HUD records as running both programs. Each pack contains the redlined chapter carrying your agency’s own elections, an election record, the 45-day public notice, the Resident Advisory Board agenda and consultation memo, the public hearing script, the board resolution and a dated adoption memo. There is no subscription, nothing recurring, no licence and no software to install.
What QuorumFile is not
QuorumFile is not a law firm and nothing it produces is legal advice. It is not affiliated with the U.S. Department of Housing and Urban Development, with any HUD field office, or with your Resident Advisory Board. It is not a Form HUD-50058 software vendor and does not submit anything to HUD on your behalf. We prepare the documents; your agency reviews, adopts and files them.
What your agency decides, not us
Two determinations are yours alone. Whether HUD Notice PIH 2026-15 applies to you — it exempts Moving to Work demonstration agencies and PHAs filing exclusively through HUD’s Family Reporting Software, and neither population is determinable from any file HUD publishes. And whether your amendment is a significant amendment, which 24 CFR 903.7(s)(2)(ii) requires each PHA to decide under criteria it published itself. Every document we produce says so and asks you to confirm it before your board acts.
Your responsibilities
You confirm you are authorised to procure documents on behalf of your agency. You supply the intake accurately — your program type, your board calendar, and the election you want recorded for each item. You have the pack reviewed by your executive director and, where your agency uses one, its counsel, before adoption. Deadlines fixed by regulation are yours to meet.
The free Decision Sheet
The Decision Sheet is provided at no charge and with no account. It lists the elections your programs require and dates a timeline from a hearing date you supply. It is informational: it does not determine your exemption status, and it does not commit us to anything.
Fees and payment
Payment is taken once, in advance, through Stripe. Prices are those published on this site at the time of purchase. Your tier is derived from HA_PROGRAM_TYPE in HUD’s own published export rather than chosen at checkout, so an agency cannot be charged for the wrong number of documents.
Refunds
If we cannot produce your pack — because your program type cannot be established, because the 45-day notice window for the hearing date you gave us has already closed, or because you tell us you are exempt and we decline to write a deadline-driven document for an exempt agency — you get a full refund. If the delivered pack materially fails to match what is described on this site, tell us within 14 days of delivery and we will correct it or refund it.
What you own
Everything we deliver to you is yours. The chapter, the election record and the whole procedural record belong to your agency on delivery, without restriction, and remain yours whether or not your board adopts them. QuorumFile retains its own site, software, branding and underlying document templates.
Your data
You keep ownership of everything you send us. We process it only to produce your pack and to correspond with you about it. What we collect and how long it is kept is set out in the Privacy Policy.
Third-party services
QuorumFile relies on Stripe for payment, Vercel for hosting, Supabase for its agency roster and Resend for email. We are not responsible for their availability, performance or policies.
Limitation of liability
To the maximum extent permitted by law, our total liability arising out of the service is limited to the amount you paid us. We are not liable for indirect, incidental, consequential, special or punitive damages, and specifically not for any HUD finding, audit outcome, funding consequence or board decision. A document we prepare is not a guarantee of a compliance outcome.
No warranty of regulatory outcome
The service is provided on an "as is" basis. We take care that every citation is accurate as at the date shown on the document, but regulations, HUD notices and your agency’s own published criteria change, and we do not warrant that a pack will satisfy any particular reviewer.
Indemnification
You agree to hold QuorumFile harmless against claims arising from your use of the documents after delivery, including their adoption, publication or filing.
Termination
We may decline or discontinue service where an intake cannot be completed, where the request falls outside what this product does, or where continuing would require us to assert something about an agency we cannot support.
Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
Changes to these Terms
We may update these Terms. The version in force is the one published here at the time of your purchase. Last updated 28 July 2026.
